International Foundation for the Tutoring Profession Constitution
I. Mission: The mission of the Board of Trustees for the International Foundation for the Tutoring Profession (IFTP) is to ensure that the best interests of the ATP and its membership will be preserved and to secure the fiscal future of the association. In addition, the IFTP will offer opportunities to develop leadership and scholarship in the field of tutoring. II. Purpose: The IFTP Board of Trustees’ functions, which are delineated below, will include advice and consultation for all constitutional changes, advice and consultation for all significant changes to the ATP By-Laws or policies, and will include developing and maintaining grant and scholarship opportunities for members of the tutoring profession. III. Board Membership Composition: The IFTP Board of Trustees shall comprise founding members and past presidents of the ATP who wish to serve. IV. Elected Trustees: The IFTP Board of Trustees elects its own leadership. There shall be three elected positions on the IFTP Board of Trustees: Chair, Treasurer and Secretary. Candidates for elected positions shall come from the IFTP Board of Trustees members. V. Elections: Elections will take place after nominations of candidates for each position. Simple majority vote of returned ballots shall determine the winner. VI. Terms of Office: Three-year terms for all elected Trustee officers with a limit of two consecutive terms. VII. Restrictions of Office: As of January 1, 2014, any IFTP Board trustee chosen for an elected position may not simultaneously be an elected officer or appointed committee chair of the ATP Executive Board. VIII. Responsibilities: The IFTP Board of Trustees shall provide oversight and consultation, to the Executive Board of the ATP. 1. Constitutional Changes: A legitimate copy of the ATP constitution will be safeguarded by the IFTP Board of Trustees. The IFTP Board of Trustees will offer advice to the ATP executive board regarding changes in the Constitution of the ATP. a. When the Executive Board of the ATP proposes a constitutional change, the IFTP Board of Trustees will review the motion and provide any suggestions deemed proper. b. If the ATP Executive Board has no objection to the IFTP Board of Trustees suggestions, the amended motion will be presented to the ATP general membership for ratification per constitutional provisions. c. If the ATP Executive Board does not accept the suggestions of the IFTP Board of Trustees regarding changes to the motion, the original motion will be presented to the general membership of the ATP for ratification accompanied by a statement by the IFTP Board of Trustees which shall explain the suggested changes and their rationale and a statement by the ATP Executive Board explaining the rationale for rejecting the suggested changes. 2. Changes to By-Laws or Policies: Shall advise the ATP Executive Board concerning significant changes to By-Laws and Policies that may affect membership, the process of elections, the composition of the Executive Board, the structure of elections or the fiduciary composition of the ATP. a. Change of By-Laws or Policies shall reflect a majority vote of the Executive Board as required by the ATP Constitution. b. Executive Board will forward recommended changes of the By-Laws or Polices to the IFTP Board of Trustees. c. IFTP Board of Trustees will consider the changes and, if necessary, recommend revisions. d. Executive Board may reject recommendations of the IFTP Board of Trustees by a two-thirds majority. 3. Changes to the IFTP Constitution and By-Laws: A legitimate copy of the IFTP all changes to the IFTP will be safeguarded by the elected Secretary of the IFTP and will be posted on the IFTP website. a. Any change of the IFTP constitution will require discussion and a two-thirds vote of approval by the Trustees. b. Any change of the IFTP By-Laws will require discussion and a simple majority vote of approval by the Trustees. VIII. Communication with the Executive Board of the ATP: The IFTP Board of Trustees shall be required to maintain on-going communication with the ATP Executive Board. The IFTP Board of Trustees and the ATP Executive Board shall exchange complete minutes from any and all meetings of the respective bodies (including but not limited to conference call, face to face meetings, and teleconferences). IFTP Board of Trustees may not interfere with the daily operation of the ATP as conducted by the ATP Executive Board and its elected and appointed officials. Either body may request joint meetings as needed. Such meetings (including but not limited to conference calls, face to face meetings, and teleconferences) shall be scheduled as soon as practical. X. Financial Holding(s) of the IFTP 1. Trust Account[s]: The IFTP Board of Trustees shall establish interest bearing Trust account[s] in support of the ATP. The Trust Accounts shall be used to support the needs of the ATP as determined by the Board of Trustees and to maintain and support grant and scholarship opportunities of the IFTP. a. The IFTP Board of Trustees will deposit monies received from the ATP in an interest bearing account or accounts. b. Monies generated by on-line workshops and other revenue-generating initiatives will be proportionally dispersed to the operating budget of the Executive Board and its committees to cover projected operating expenses and to the Trust account[s] of the Tutoring Foundation Board of Trustees for later disbursement as necessary. c. The trust accounts shall be used to support the mission and the needs of the ATP as well as the mission and needs of the IFTP. d. Upon request from the ATP Executive Board, and approval by the IFTP Board of Trustees, the Treasurer will transfer funds into the appropriate ATP Committee accounts. e. Upon request from the IFTP Board of Trustees, the IFTP Board of Trustees Treasurer shall disburse funds for approved travel and accommodations by IFTP Board of Trustees members. f. All disbursements will require at least two signatures or signed consent by the treasurer and at least one other IFTP Board of Trustees member in the case of electronic transfers and purchases. XI. Dissolution: In the event of dissolution, all remaining assets shall be distributed to the ATP.
